This is my structure:

I executed the next command in order to register the conduit for HotSync

C:\SuperWaba>superwaba seti/soccerplanet/conduit/SoccerConduitPDA SoccerPlanetPDA MyCo /rp seti/soccerplanet/conduit/SoccerConduitPDA SoccerPlanetPDA MyCo

with this command works OK

but

when I executed the next command in order to register the conduit for ActiveSync

C:\SuperWaba>superwaba seti/soccerplanet/conduit/SoccerConduitPDA SoccerPlanetPDA MyCo /ra seti/soccerplanet/conduit/SoccerConduitPDA SoccerPlanetPDA MyCo

It open the window of Conduit but doesn't work and the windows were frozen.

Whats the installed activesync version and your operating system ?

Version ActiveSync 4.5 and Operating system is XP 2002, Service pack 3

Can you run the conduit at all ? Registering for activesync is only for setting up the auto-run feature, you can run it manually with the "RunConduit.lnk" shortcut that calls your conduit (make sure to have a device or the simulator connected to activesync with green status to run it directly)
Is there any copy of the activesync dll's in your project folder, the superwaba vm folder, or in any system path ? You must remove any of them, leaving only the default ones you described above in the system32 folder
Try to reinstall your activesync if all else fails.
